What Does W&I Insurance Cover?

W&I insurance may cover certain loss resulting from a breach of insured warranties or specified tax matters, but only as defined by the negotiated policy. The sale agreement alone does not determine insurance cover.

Potentially insured warranty areas

The exact scope follows the transaction and policy, not a universal checklist.

  • Title and capacity warranties where accepted.
  • Business, accounts, contracts, employment or compliance warranties where accepted.
  • Tax warranties or a tax covenant to the extent agreed.

Common boundaries

W&I is not intended to make every business risk insurable.

  • Known or disclosed matters may be excluded.
  • Forward-looking promises and purchase-price adjustments may be outside scope.
  • Fraud, conduct and other policy-specific exclusions require careful review.

Claims depend on wording

A covered claim requires more than showing that the target underperformed.

  • An insured warranty must have been breached.
  • Loss must fall within the policy definition and limit.
  • Notification, mitigation and evidence requirements apply.

What Does W&I Insurance Cover? FAQs

Are all warranties in the acquisition agreement covered?

Not automatically. The policy identifies the insured warranties and may modify or exclude parts of the contractual warranty package.

Are known problems covered?

Known or disclosed issues are generally not treated as unknown warranty breaches. Some identified risks may be considered under another specialist product.

Does W&I cover a fall in the target's value?

Only if the claimed loss results from an insured breach and is measured and covered under the policy terms. General underperformance is not automatically insured.
