Specialist transaction insurance

Insurance When Buying a Business

Buying a business can create two insurance workstreams: transaction risk and the target's continuing operational cover. They should be coordinated, but they are not the same assessment.

Direct answer

W&I, tax-liability or contingent-risk insurance may address selected transaction exposures. A separate review should test whether the target's business policies remain suitable after completion.

Important: availability, cover, price and timing depend on the transaction, due diligence, insurer appetite and final policy terms. Nothing on this page is legal, tax or personalised regulated advice.

Transaction insurance

Identify how warranty and known risks are allocated in the acquisition.

  • Consider buyer-side W&I where appropriate.
  • Separate identified tax or contingent risks.
  • Align insurance review with the agreement and diligence.

Operational insurance diligence

Review the target's existing programme and loss history.

  • Policy periods, limits, exclusions and change-of-control terms.
  • Open claims, circumstances and historic coverage.
  • Future activities, locations, staff and contractual requirements.

Completion planning

Avoid assuming all existing policies continue unchanged.

  • Confirm who must notify insurers or brokers.
  • Arrange replacement or run-off cover where required.
  • Record responsibilities for pre- and post-completion claims.
Confidentiality: do not send data-room access, diligence reports, transaction documents or sensitive deal details through the general contact form. Ask Paul or Salvatore to agree a suitable secure exchange route first.

Insurance When Buying a Business FAQs

Does W&I replace the target's business insurance?

No. W&I concerns selected transaction warranties; operational policies address risks such as property, liability, cyber or professional exposures.

What is a change-of-control clause?

Some policies or arrangements require notification or may be affected by a change in ownership. The exact wording should be checked with advisers and insurers.

Should claims history be reviewed?

Yes. Claims and notified circumstances can affect both diligence and the future operational insurance programme.
